The use of services from VDI Pte. Ltd. [hereafter referred to as "Cloud Computing Solution"] owned or resold by Cloud Computing Solution Computing Solution constitutes agreement to these terms.

Cloud Computing Solution name, logo and related trademarks and service marks, owned by the Cloud Computing Solution Private Limited, may be registered and/or used in the Singapore and in many foreign countries. Cloud Computing Solution is committed to respect customer privacy and wants to promote trust and confidence on the Internet. To that end, Cloud Computing Solution hereby discloses the type of information that is collected and tracked and how Cloud Computing Solution uses this information in its business operations.

Collection of Information

Cloud Computing Solution collects identifiable information through the registration process (sign-up, affiliate program application, partners' program application, newsletters, Email and other means) and using other methods where you are required to give some of the information: company information, product information, technical information, credit card information, name, reference names telephone number, email address, NRIC number, NIC, FIN number, Passport number and address and any company and its business information.


Internet Protocol (IP) addresses and other activities will be traced. Cloud Computing Solution also tracks information such as the domain name and any activity on Cloud Computing Solution infrastructure.

Law Enforcement and Investigations

Cloud Computing Solution may be required to disclose collected information when required by law wherein it believes that such disclosure is necessary to comply with legal proceedings. Cloud Computing Solution responds to subpoenas, warrants, or other court orders regarding information that is contained within its access logs concerning any user or customer. Cloud Computing Solution reserves the right to release information concerning any user who is believed to be in violation of Cloud Computing Solution guidelines, business principles, even without a subpoena, warrant, or other court order. Cloud Computing Solution cooperates with law enforcement agencies in identifying those who use its services for illegal activities. Cloud Computing Solution reserves the right to report any illegal activity on Cloud Computing Solution infrastructure by you to law enforcement agencies for prosecution.

Third Party

Cloud Computing Solution discloses information only to third parties who are required to treat the information responsibly. However, Cloud Computing Solution is not responsible for any actions of these third parties that receive the information. Please note that Cloud Computing Solution and its partners links to a wide variety of its partners, Cloud Computing Solution is not accountable for their privacy policies or how they treat information about their customers. Please note that Cloud Computing Solution does not control the acts of customers. You should be aware that, when disclosing its information such as actual name, e-mail address and other information, to third parties, the information may be collected and used to send that person unsolicited e-mail from other parties, outside of Cloud Computing Solution. In the event that you encounter a Cloud Computing Solution user or customer who is improperly collecting or using personal information, please contact Cloud Computing Solution immediately.


Cloud Computing Solution uses all commercially reasonable precautions, such as security software, physical security features and strict policy guidelines, to safeguard the privacy of its customers information; Cloud Computing Solution is also committed to constantly improving its security measures when new technology is made available. Cloud Computing Solution works diligently to protect the safety of customers' records/data and sensitive information by using authentication technology (certificates), encryption technology (SSL), firewalls and other security mechanisms. However, Cloud Computing Solution will not be responsible for security risk, security threat or data loss or data compromised due to any security violation.

Changes to the Policies

Cloud Computing Solution policies are subject to change as Cloud Computing Solution enhances its services and/or products.


Cloud Computing Solution team will make every effort to help you move your data to Cloud Computing Solution infrastructure. However, transfers are provided as a courtesy service, and Cloud Computing Solution cannot make guarantees regarding the availability, possibility, or time required to complete a data transfer. Each customer server platform is configured differently, and some platforms save data in an incompatible or proprietary format, which may make it extremely difficult to migrate data. Cloud Computing Solution team will try best, but in some cases Cloud Computing Solution may be unable to assist you in a transfer of data. You are here by informed that its data may loss in any situation and Cloud Computing Solution will not be responsible at all. You will not hold Cloud Computing Solution responsible for data loss, server problem or any other problem. The free transfer services are available for 30 days from signup date. Transfers outside of the 30 day free period will incur a charge.


All services provided by Cloud Computing Solution may only be used for lawful purposes. The laws of the Singapore apply and the laws of United States of America may also apply. You agree to indemnify and hold harmless to Cloud Computing Solution from any claims resulting from the use of Cloud Computing Solution services and supply. Use of Cloud Computing Solution services to infringe upon any copyright or trademark is prohibited. This includes but is not limited to unauthorized copying of music, books, photographs, or any other copyrighted work. The offer of sale of any counterfeit merchandise of a trademark holder will result in the immediate termination of service and supply. If we found you to be in illegal activities, all data will be confiscated. If you believe that copyright or trademark is being infringed upon, you should inform Cloud Computing Solution immediately. If the request is of a licensing issue, Cloud Computing Solution may require further documentation.
Examples of unacceptable material on all Cloud Computing Solution servers include:

IRC Bots, Proxy Scripts / Anonymizers, Pirated Software / Warez, image, filedump, mass mailing activity, site that is downloading purpose only, mirror, or banner-ad services (similar to rapidshare, photobucket, or commercial banner ad rotation), affiliate servers, topsites, commercial audio streaming (more than one or two streams), Escrow, High-Yield Interest Programs (HYIP) or related sites, Investment sites (FOREX, egold exchange), sale of any controlled substance without prior proof of appropriate permit(s), AutoSurf sites, Bank Debentures, Bank Debenture Trading Programs, Prime Banks Programs, lottery sites, muds / rpg's, hate sites, hacker focused sites/archives/programs, or sites promoting illegal activities, IP Scanners, Brute Force Programs, Mail Bombers, Spam Scripts and Adult sites or Adult materials. Forums and or websites that distribute or link to warez content are prohibited. Any other material prohibited by Singapore and United States of America Laws. Cloud Computing Solution services, including all related equipment, networks and network devices are provided for authorized use only. Cloud Computing Solution systems may be monitored for all lawful purposes, including ensuring that use is authorized, for management of the system, to facilitate protection against unauthorized access, and to verify security procedures, survivability and operational security. During monitoring, information may be examined, recorded, copied and used for authorized purposes. Use of Cloud Computing Solution system(s) constitutes consent to monitoring for these purposes. Cloud Computing Solution reserves the right to refuse service to anyone. Any material that, in Cloud Computing Solution judgment, is obscene, threatening, illegal, or violates Cloud Computing Solution terms of service in any manner may be immediately removed from Cloud Computing Solution servers (or otherwise disabled), with or without notice. Failure to respond to email from Cloud Computing Solution relevant department within 48 hours may result in the suspension or termination of services. All abuse issues must be dealt via trouble ticket/email and may have a response within 48 hours. If in doubt regarding the acceptability of site or service, you must contact Cloud Computing Solution for assistance. Potential harm to minors is strictly forbidden, including but not limited to child pornography or content perceived to be child pornography (Lolita): Your server found to host child pornography or linking to child pornography will be suspended immediately without notice. Violations will be reported to the appropriate law enforcement agencies.

Zero Tolerance Spam Policy

Cloud Computing Solution take a zero tolerance stance against sending of unsolicited e-mail, bulk emailing and spam as well as "Safe lists" and "double opt-in" will be treated as spam. If you send out spam we will terminated your account without notice. Sites advertised via SPAM (Spamvertised) may not be hosted on Cloud Computing Solution servers. This provision includes, but is not limited to SPAM sent via fax, email, instant messaging, or usenet/newsgroups. No organization or entity listed in the ROKSO may be hosted on Cloud Computing Solution servers. Any account which results in Cloud Computing Solution IP space being blacklisted will be immediately suspended and/or terminated. Cloud Computing Solution reserves the right to require changes or disable as necessary any server or web site, account, database, or other component that does not comply with its established policies, or to make any such modifications in an emergency at its sole discretion. Cloud Computing Solution reserves the right to charge the holder of the server used to send any unsolicited e-mail a cleanup fee. This cost of the cleanup fee is entirely at the discretion of Cloud Computing Solution.

Payment Information

You agree to make payment promptly for the services received from Cloud Computing Solution, in advance of the time period during which such services are provided. You agree that until and unless you notify Cloud Computing Solution of your desire to cancel, any or all services received, after completing any fixed period, those services will be billed on a recurring basis. Cancellations must be done in writing. Once we receive cancellation request and have confirmed all necessary information via e-mail, we will inform you in writing (typically email) that their account has been canceled. Cloud Computing Solution provides a 7 day grace period from the time the invoice is due and after that period it must be paid. Any invoice that is overdue for 10 days and not paid will result in a $10 late fee and/or an account suspension until account balance has been paid in full.

Backups and Data Loss

Use of the service is at your sole risk. Cloud Computing Solution is not responsible for files loss and/or data loss residing on Cloud Computing Solution infrastructure. You agree to take full responsibility for its files and data and to maintain all appropriate backup of files and data stored on Cloud Computing Solution servers.

Cancellations and Refunds

Cloud Computing Solution reserves the right to cancel or suspend the service at any time with or without notice. Any abuse of our staff in any medium or format will result in the suspension or termination of your services. There are no refunds on Cloud Computing Solution and virtual servers, dedicated servers, exchange servers, administrative fees, install fees for custom software, or domain name purchases. Refund requests for shared and reseller accounts after the initial 30 days will be refunded on a prorated basis of any unused time.

Resource Usage

User may not:
a) Use 80% or more of its allocated system resources for longer than 90 seconds. There are numerous activities that could cause such problems; these include: CGI scripts, FTP, PHP, HTTP, etc.
b) Run stand-alone, unattended server-side processes at any point in time on the server. This includes any and all daemons, such as IRCD.
c) Run any type of web spider or indexer (including Google Cash / AdSpy) on shared servers.
d) Run any software that interfaces with an IRC (Internet Relay Chat) network.
e) Run any bit torrent application, tracker, or client. Please note that you may link to torrents off server, but may not host or store them.
f) Run any gaming servers such as counter-strike, half-life, battlefield1942, etc.
g) Run cron entries with intervals of less than 15 minutes.

Bandwidth Usage

You may be allocated a monthly bandwidth allowance. This allowance varies depending on the package your purchases. Should your account pass the allocated amount Cloud Computing Solution reserves the right to suspend the service until the start of the next allocation, suspend the account until more bandwidth is purchased at an additional fee, suspend the account until you upgrade to a higher level of package, terminate the service account and/or charge you an additional fee for the over usages. Unused transfer in one month cannot be carried over to the next month.

Dedicated Servers, Dedicated Cloud Computing Solution Server and Virtual Private Server

Cloud Computing Solution reserves the right to reset the password on a server if the password on file is not current so that Cloud Computing Solution may perform security audits as required by Cloud Computing Solution datacenter. It is your responsibility to ensure that there is a valid email address and current password on file for their server on file to prevent downtime from forced password resets. Cloud Computing Solution reserves the right to audit servers as needed and to perform administrative actions at the request of Cloud Computing Solution datacenter. Servers may not be backed up by Cloud Computing Solution and it is your responsibility to maintain backups or have a solution for this. You may purchase an additional hard drive and maintain backups to it as the simplest solution.

Price Change

Cloud Computing Solution reserve the right to change price and the right to increase the amount of resources given to plans at any time.


You agree to defend, indemnify, save and hold Cloud Computing Solution harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney's fees asserted against Cloud Computing Solution, its agents, its customers, officers and employees, its partners that may arise or result from any service provided or performed or agreed to be performed or any product sold. You agree to defend, indemnify and hold harmless Cloud Computing Solution against liabilities arising out of; (1) any injury to person or to property caused by any products sold or otherwise distributed in connection with Cloud Computing Solution; (2) infringing or allegedly infringing on the proprietary rights of a third party; (3) copyright infringement and (4) any defective products or service sold to customers from Cloud Computing Solution's server.


By using Cloud Computing Solution any services, you agree to submit to binding arbitration. If any disputes or claims arise against Cloud Computing Solution, its subsidiaries or its owners or suppliers, employees, directors such disputes will be handled by an arbitrator of Cloud Computing Solution's choice. Arbitrators shall be selected pursuant to the applicable rules. All decisions rendered by the arbitrator will be binding and final. The arbitrator's award is final and binding on all parties. You are also responsible for any and all costs related to such arbitration.


Cloud Computing Solution, its owners, its directors, its consultants, its staff, associates and partners shall not be responsible for any damages to you. Cloud Computing Solution makes no warranties of any kind, expressed or implied for services and supply Cloud Computing Solution provides. Cloud Computing Solution disclaims any warranty or merchantability or fitness for a particular purpose. This includes loss of data, no deliveries, wrong delivery, and any and all service interruptions caused by Cloud Computing Solution, its associates, its partners, directors, owners and its employees.

Disclosure to law enforcement

Cloud Computing Solution may disclose your information to law enforcement agencies without further consent or notification to you upon lawful request from such agencies. Cloud Computing Solution will cooperate fully with law enforcement agencies.


Cloud Computing Solution reserves the right to revise its policies at any time without notice.

Exclusion of Incidental and Consequential Damages

Independent of, severable from, and to be enforced independently of any other provision of this Service and Supply Agreement, Cloud Computing Solution WILL NOT BE LIABLE EITHER TO YOU OR TO ANY OTHER PARTY (NOR TO ANY PERSON CLAIMING RIGHTS DERIVED FROM THE OTHER PARTY RIGHTS) IN CONTRACT, TORT, (INCLUDING NEGLIGENCE) OR OTHERWISE, FOR INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND including lost profits, loss of any kind of data, loss of business, or other economic damage, and further including injury to property, AS A RESULT OF OR RELATING TO THIS SERVICE AND SUPPLY AGREEMENT OR THE SERVICES, INCLUDING,WITHOUT LIMITATION, BREACH OF ANY WARRANTY OR OTHER TERM OF THIS AGREEMENT, REGARDLESS OF WHETHER THE PARTY LIABLE OR ALLEGEDLY LIABLE WAS ADVISED, HAD OTHER REASON TO KNOW, OR IN FACT KNEW OF THE POSSIBILITY THEREOF. Moreover, Cloud Computing Solution shall not be liable or responsible for data or software which is lost, corrupted, deleted or altered. Cloud Computing Solution shall not be liable for any incidental, indirect, special or consequential damages whatsoever including, but not limited to, lost profits and damages resulting from loss of use or loss of corrupted data or software, even Cloud Computing Solution has been advised, knew of or should have known of the possibility thereof.
